Knoxville Badminton Club
1. Name & Purpose
Name
The name of this organization is Knoxville Badminton Club (“the Club”).
Purpose
The Club operates as a nonprofit sports organization dedicated to:
- Promoting the sport of badminton
- Organizing recreational and competitive play
- Encouraging sportsmanship
- Supporting physical fitness within the community
The Club operates exclusively for nonprofit purposes.
2. Membership
Players & Members
Membership includes individuals who are:
- Currently registered with the Club
- Actively participating in Club programs, leagues, tournaments, or activities
Members and players do not have voting rights in the governance, management, or decision-making of the Club.
Dues
Membership dues, if applicable, are determined solely by the President.
Discipline
All members must comply with Club rules, policies, and standards of conduct.
The President has sole authority over disciplinary actions, including suspension or termination of membership.
3. Governing Authority
Founder Authority
The Founder and President serves as the Chief Executive Officer of the Club and retains final authority over all:
- Strategic decisions
- Operational matters
- Administrative functions
- Financial decisions
The President has sole discretion to:
- Appoint or remove Board members
- Approve or reject Board recommendations
- Approve budgets and expenditures
- Enter into or terminate contracts
- Establish and amend Club policies
- Resolve disputes or disciplinary matters
- Amend these Bylaws
Board members serve in an advisory and operational support capacity only.
4. Board of Directors
Composition
The Board consists of four (4) volunteer members:
- President (Founder)
- Vice President
- Director of Facility Coordination
- Director of Operations & Member Affairs
All Board members serve without compensation.
Appointment & Removal
Board members are appointed by the President and serve at the pleasure of the President.
The President may remove any Board member at any time, with or without cause.
Advisory Role
The Board functions in an advisory and support capacity.
No Board member may:
- Bind the Club financially
- Enter into contracts
- Create legal obligations
Without prior written approval from the President.
The President retains full executive authority over all decisions.
5. Duties of Officers
President (Founder)
The President:
- Serves as chief executive of the Club
- Exercises final decision-making authority
- Oversees finances and approves expenditures
- Approves facility rentals and agreements
- Enforces Club policies and rules
- Represents the Club publicly
- Presides over meetings
Vice President
The Vice President:
- Assists the President in administrative and operational matters
- Performs duties delegated by the President
- Supports Club events and initiatives
The Vice President does not exercise independent authority unless expressly delegated by the President.
Director of Facility Coordination & Operations
This role:
- Coordinating communication with facility rental providers
- Assisting with scheduling, booking logistics, and availability tracking
- Supporting equipment management and court setup needs
- Assisting with tournament and program operations
- Helping ensure smooth execution of weekly play sessions
- Providing operational recommendations to the President
All rental agreements require final approval from the President.
Director of Operations & Member Affairs
This role:
- Communicates updates to members
- Assists with tournament coordination
- Supports member engagement
- Briefs members on rules and expectations
This is a support and communication role only.
6. Finances
The Club maintains accurate financial records.
All expenditures must be approved by the President.
No Board member may incur financial obligations on behalf of the Club without prior approval.
7. Volunteer Status
All officers and Board members serve as volunteers and receive no compensation.
8. Liability & Indemnification
To the fullest extent permitted by law, the Club may indemnify officers and Board members acting in good faith within the scope of their duties.
9. Amendments
These Bylaws may be amended at any time by the President.
10. Dissolution
If the Club dissolves, any remaining assets will be distributed for nonprofit or community sports purposes in accordance with applicable laws.
